These Terms & Conditions govern purchases of digital products from ELLA CS LLC ("ELLA," "we," "us," or "our"), a California limited liability company operating under the ELLA brand.

01 Products

These Terms apply to all ELLA products, including The Content Club (Canva templates and resources), The Content System (a Notion template), and The Automation Vault (ManyChat automation flows).

We make reasonable efforts to ensure that our products, descriptions, features, and pricing are presented accurately. Product information, features, and pricing may be updated or changed at any time.

All ELLA products are digital products. No physical products will be shipped.

Some ELLA products rely on third-party platforms, including Canva, Notion, and ManyChat. Your use of those platforms is subject to the applicable third party's own terms, policies, account requirements, features, and pricing. ELLA does not control third-party platforms and is not responsible for changes to their services, features, availability, or pricing.

02 Purchase

By completing your purchase, you acknowledge and agree that:

  • You are purchasing a digital product.
  • No physical product will be shipped.
  • You have reviewed the product description and understand what is included in your purchase.
  • You request immediate access to the digital product after purchase and expressly consent to the immediate supply of the digital content.
  • Where applicable law provides a statutory cancellation or withdrawal period for digital content, you acknowledge that you may lose that right once supply of the digital content begins, where permitted by applicable law.
  • Except where a refund, cancellation, withdrawal, or other remedy is required by applicable law, purchases are final once access to the digital product has been provided.

03 Digital Products & Consumer Rights

ELLA sells digital products that are delivered electronically, including Canva templates, Notion templates, automation flows, and related digital resources.

Consumer protection and cancellation rights vary by country. Nothing in these Terms is intended to exclude, restrict, or limit any consumer right that cannot legally be excluded or limited under the laws applicable to the customer.

Where applicable law provides a statutory cancellation or withdrawal period for digital content, ELLA may begin supplying the digital content immediately after purchase when the customer has expressly requested and consented to immediate supply and has acknowledged that they lose their applicable statutory right to cancel or withdraw once supply begins, where permitted by law.

The customer's consent and acknowledgment are obtained through the mandatory checkout acknowledgment and recorded as part of the purchase transaction. Where required by applicable law, confirmation of this consent and acknowledgment will also be provided in the customer's purchase confirmation.

Except where required by applicable law, ELLA does not offer voluntary refunds once access to a digital product has been provided.

Nothing in these Terms affects any mandatory statutory rights or remedies available to consumers under applicable law.

04 Refunds

ELLA sells digital products that are delivered electronically. Because digital products cannot be physically returned, ELLA does not offer voluntary refunds once access to a purchased product has been provided.

This policy does not exclude or limit any mandatory consumer rights that apply under applicable law.

Where applicable law provides a customer with a right to cancel, withdraw, obtain a refund, or receive another remedy, those rights remain unaffected.

For customers purchasing digital content in jurisdictions where a statutory withdrawal period applies, ELLA may provide immediate access after obtaining any consent and acknowledgment required by applicable law for the customer's withdrawal right to cease once supply begins.

Where a refund is legally required, it will be issued to the original payment method in accordance with applicable law.

05 Disclaimer

We make reasonable efforts to provide accurate, functional, and high-quality digital content. However, we do not guarantee any specific business, financial, marketing, audience-growth, or other results from the use of our products.

Our products are provided for informational, educational, organizational, and creative purposes and are not a guarantee of any particular outcome.

To the fullest extent permitted by applicable law, ELLA shall not be liable for indirect, incidental, consequential, or special losses arising from the use of our products, services, or website content.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law, including mandatory consumer rights and remedies.

06 Privacy & Communications

ELLA is committed to protecting your privacy and handling your personal information responsibly.

We collect and use personal information as necessary to process orders, provide access to purchased products, communicate with customers, provide customer support, maintain our website, and improve our offerings.

  • We may use trusted third-party providers, including Stripe, PayPal, Systeme.io, and email service providers, to process payments, deliver products, and communicate with customers. These providers may access information only as necessary to provide their services.
  • Our website and services are not intended for individuals under 18 years of age. We do not knowingly collect personal information from children under 18.
  • Marketing communications are sent in accordance with applicable law. You may unsubscribe from promotional emails at any time by using the unsubscribe link included in our emails.

07 Intellectual Property

All materials provided through ELLA products are protected by copyright and other applicable intellectual property laws.

Your purchase grants you a limited, non-exclusive, non-transferable license to use the purchased materials for your own personal and business use, subject to these Terms. Your purchase does not transfer ownership of the underlying designs, templates, systems, databases, content, graphics, or automation flows to you.

Derivative Works

Modifying, editing, adapting, recoloring, rearranging, restructuring, or changing text, images, layouts, fonts, databases, or flow logic does not grant ownership or resale rights to the modified material.

Any use of ELLA materials that retains substantially the same structure, layout, design system, database structure, template framework, or underlying automation logic may constitute a derivative work and remains subject to ELLA's intellectual property rights.

How This Applies to Each Product

The Content Club provides Canva templates, graphics, and related content. The rules above apply to the designs, layouts, template structures, graphics, and other materials included in the product.

The Content System is a Notion template that you duplicate into your own workspace. Its structure, database setup, organization, layout, and underlying framework remain the intellectual property of ELLA.

The Automation Vault provides pre-built automation flows that you import into your own ManyChat account. The flow structure, organization, and underlying logic remain the intellectual property of ELLA.

ManyChat is a separate third-party platform with its own terms of service and pricing. ELLA does not control ManyChat and is not responsible for changes to its platform, features, availability, or pricing.

Permitted Client Use

Social media managers, agencies, and freelancers may use ELLA materials to create content or set up systems for their clients, including delivering final editable designs or configuring Automation Vault flows inside a client's own account, provided that:

  • The materials are used as part of a service provided to the client and are not sold as standalone products.
  • The client receives the materials solely for use in their own business.
  • The materials are not resold, redistributed, sublicensed, or provided for reuse by other clients.
  • The ELLA materials are not used as the basis for creating or selling a competing template, product, bundle, membership, course, or similar offering.

Strictly Prohibited

You may not:

  • Sell or resell ELLA materials as standalone products.
  • License, sublicense, or transfer ELLA materials to third parties.
  • Distribute, share, upload, publish, or make ELLA materials available to the public or to unauthorized third parties.
  • Use ELLA materials to create, sell, or distribute competing templates, planners, systems, flows, bundles, memberships, courses, or similar products.
  • Claim ownership of ELLA materials or represent them as your original intellectual property.
  • Share purchased access, files, templates, databases, or automation flows with unauthorized users.
  • Use modified or derivative versions of ELLA materials for resale or commercial distribution.

Unauthorized use, reproduction, resale, or redistribution may constitute a material breach of these Terms and may also constitute copyright infringement or another violation of applicable law.

Enforcement & Remedies

In the event of unauthorized use or infringement, ELLA reserves the right, to the extent permitted by applicable law, to:

  • Terminate or suspend access to ELLA products.
  • Issue DMCA takedown notices and infringement reports to relevant platforms.
  • Request removal of unauthorized copies or distributions.
  • Pursue available legal and equitable remedies.
  • Seek damages, costs, attorneys' fees, injunctive relief, or other remedies available under applicable law.

Termination of access does not limit ELLA's right to pursue other remedies available under applicable law.

08 Third-Party Platforms

Certain ELLA products require or interact with third-party platforms, including Canva, Notion, ManyChat, Stripe, PayPal, Systeme.io, and other service providers.

You are responsible for maintaining any required third-party accounts and complying with the applicable third-party terms and policies.

ELLA does not guarantee that third-party platforms will remain available, unchanged, compatible, or free of additional charges.

Changes, interruptions, limitations, or discontinuation of third-party platforms may affect your ability to use certain ELLA products. ELLA is not responsible for such third-party changes.

09 Changes to These Terms

We may update these Terms from time to time to reflect changes to our products, business practices, legal requirements, or other circumstances.

The updated version will be posted on this page with a revised "Last updated" date.

Changes will not retroactively remove or limit mandatory rights that apply to purchases already made.

Your continued use of ELLA products after an update constitutes acceptance of the updated Terms to the extent permitted by applicable law.

10 Governing Law & Consumer Rights

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles, except where applicable consumer protection laws require otherwise.

Where permitted by applicable law, disputes arising from these Terms or your purchase of ELLA products shall be subject to the applicable courts located in California.

Nothing in this section prevents a consumer from exercising mandatory rights or bringing a claim in a jurisdiction where applicable consumer law grants the consumer that right.
